Terms of Service

These Terms of Service (this “Agreement”) are entered into by and between you and Electrome Corporation (“Company”, “we”, “us”, or “our”). Please read this Agreement carefully. By using our website, applications, products, or services (collectively, the “Services”), you agree to be bound by this Agreement. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into this Agreement.

Electrome Corporation provides bioelectric therapeutics products, wellness technology solutions, and related information through the Services. The Services may include product information, e-commerce functionality, customer support, and educational content. The specific features available to you may change from time to time at our sole discretion.
3. User Accounts
Certain features of the Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use

We strive to provide accurate product descriptions and pricing. However, we do not warrant that product descriptions, pricing, or other content on the Services is accurate, complete, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. All purchases made through the Services are subject to our return and refund policies as posted on the Services.

10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELECTRO THERAPEUTICS CORP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Electrome Corporation and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of this Agreement; or (c) your violation of any rights of another party.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by a recognized arbitration organization, or in the state or federal courts located in Los Angeles County, California. YOU HEREBY WAIVE ANY OBJECTION TO SUCH VENUE AS INCONVENIENT.
14. Changes to This Agreement
We reserve the right to modify this Agreement at any time. If we make material changes, we will notify you by posting the updated Agreement on the Services with a revised effective date. Your continued use of the Services after any changes constitutes your acceptance of the revised Agreement.
15. Termination
We may terminate or suspend your access to the Services at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Services will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
This Agreement, together with our Privacy Policy and any other legal notices published on the Services, constitutes the entire agreement between you and Electrome Corporation with respect to the Services and supersedes all prior agreements, representations, and understandings.
